Terms of Service

1. The Service
Agents Wallet is a digital business card and referral management platform for real estate professionals, operated by Zeogly Pty Ltd (ABN 55 625 307 431) (“Zeogly”, “we”, “us”, or “our”). The Service allows agencies and agents to issue Google Wallet digital business cards, track referral networks, automate review campaigns, and manage referral relationships.
By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Eligibility
The Service is available to licensed real estate professionals and real estate agencies operating in Australia. By registering for or using the Service, you represent that you meet this eligibility requirement and that all information you provide is accurate and complete.
3. Subscriptions and Payment
Agents Wallet is offered on the following subscription plans:

All prices are in Australian dollars (AUD) and are exclusive of GST. GST will be added at the time of invoicing. Annual plans are billed at 10 months’ price — equivalent to 2 months free. Subscriptions are billed monthly or annually in advance. Failure to pay will result in suspension of your account and access to the Service.
4. Cancellation and Refunds
There are no long-term contracts or lock-in periods. You may cancel your subscription at any time through your account settings or by contacting us at support@zeogly.com. Upon cancellation, your access to the Service will continue until the end of your current paid billing period — whether monthly or annual. We do not issue refunds for partial billing periods or unused time remaining on a subscription.
Effect on installed passes: Google Wallet passes already saved to your clients’ devices will remain on those devices after your account is closed. We will no longer be able to update or revoke those passes once your subscription ends. We recommend notifying your contacts before cancelling your subscription.
SMS messaging: Automated SMS sending is included in all subscription plans within fair use limits. We reserve the right to introduce per-message charges for high-volume usage with reasonable prior notice to affected customers.
5. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@zeogly.com if you suspect unauthorised access to your account.
Agency Admins are responsible for the conduct of all agents they add to their account. If an agent’s account is misused, the Agency Admin bears responsibility for that misuse.
6. Acceptable Use
You must not use the Service to:
- Send unsolicited commercial communications (spam) to any person.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
- Collect or harvest personal information about others without their consent.
- Violate any applicable law or regulation, including the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth).
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorised access to any part of the Service or its related systems.
We reserve the right to suspend or terminate any account that violates these acceptable use requirements, without notice and without refund.
7. Intellectual Property
All platform code, design, technology, and Service content (excluding Agency and Agent content) is owned by or licensed to Zeogly Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period. You must not copy, modify, distribute, or reverse-engineer any part of the Service.
Your agency branding, agent profile content, and contact data remain your property. By uploading content to the Service, you grant us a limited licence to use that content solely to provide the Service.
8. Google Wallet
Use of digital passes generated by the Service is subject to the Google Wallet API Terms of Service. You are responsible for ensuring your use of Google Wallet passes through the Service complies with Google’s terms, including requirements around pass content and communications. We are not responsible for changes to Google Wallet API functionality, availability, or terms that affect the Service.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. Your use of the Service is at your sole risk.
We do not warrant that referral tracking data will be complete or that automated review campaigns will result in any particular business outcome. Results will vary depending on your agency’s use of the Service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Zeogly Pty Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including loss of profits, data loss, or business interruption, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service is limited to the fees you have paid to us in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be lawfully excluded under Australian law.
11. Service Availability
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our reasonable control. We are not liable for any losses arising from Service downtime.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not accept the changes, you must cancel your subscription before the effective date.
13. Governing Law
These Terms are governed by the laws of the Australian Capital Territory, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.
